These Terms of Use (these “Terms”) set out the conditions for using the football squad-building app “Squad XI” (the “Service”) provided by Squad XI (“we,” “us,” or “our”). By using the Service, you are deemed to have agreed to these Terms.
Article 1 (Application)
- These Terms apply to all relationships between us and users concerning the use of the Service.
- Any notices, guidelines, and similar rules that we separately establish regarding the Service form part of these Terms.
Article 2 (The Service)
- The Service is an application that lets users create and edit football starting lineups and save and share them as images, among other features.
- The Service is provided free of charge as of the effective date of these Terms. We may in the future offer some features for a fee (such as a premium plan); the content, pricing, and conditions of any such offering will be separately established and displayed.
Article 3 (Handling of data)
- Data that you create and save within the Service—squads, team names, notes, photos you add, various settings, and the like—is, as a rule, stored only on your device. Details are as set out in the Privacy Policy.
- Data stored on your device may be lost through deletion of the app, failure or loss of your device, clearing of your browser’s stored data, and similar events. You are responsible for managing your own data, including by using the Service’s backup feature as needed.
Article 4 (Ownership of rights; relationship with third parties)
- The player names, club names, country names, league names, and other information displayed in the Service have been compiled and organized by us on the basis of publicly available information and the like, for the purposes of identification and information provision.
- The Service may display real players, clubs, leagues, organizations, and other third parties, but the Service has no affiliation whatsoever with these third parties and is not partnered with, sponsored by, endorsed by, or approved by them. Rights in the respective names, marks, emblems, and the like belong to their respective owners.
- The copyrights, trademarks, and other intellectual property rights relating to the Service (including the Service’s program, design, and the “Squad XI” logo) belong to us or to their rightful owners. You may not reproduce, modify, reprint, reverse-engineer, or otherwise use them without our prior consent.
- You are responsible for the content of any squad images you create in the Service and of any photos you add yourself, and you shall use only material that does not infringe the copyrights, portrait rights, or other rights of third parties.
Article 5 (Prohibited conduct)
In using the Service, you must not engage in any of the following conduct.
- Conduct that violates laws or public order and morals
- Conduct that infringes the intellectual property rights, portrait rights, privacy, reputation, or other rights or interests of us or of any third party
- Placing an excessive load on the Service’s servers or network, gaining unauthorized access, or otherwise interfering with the operation of the Service
- Analyzing, modifying, or reverse-engineering the Service’s program, or improperly extracting, reproducing, or redistributing its data
- Using the Service for commercial purposes in a manner we do not intend
- Any other conduct that we reasonably determine to be inappropriate
Article 6 (Accuracy of data; disclaimer of warranties)
- The information on players, clubs, and the like included in the Service is compiled on the basis of various publicly available information, but we do not warrant its accuracy, completeness, timeliness, usefulness, or fitness for a particular purpose.
- The Service is provided “as is.” We do not warrant that the Service will meet your particular purposes, that it will have the functions or quality you expect, or that it will be free of defects.
Article 7 (Disclaimer of liability)
- Except in cases of our willful misconduct or gross negligence, we are not liable for any damage incurred by users arising from the use of, or inability to use, the Service (including loss of data, lost opportunities, and lost profits).
- We are not liable for any dispute arising between a user and a third party in connection with the Service.
- If you move from the Service to a third-party service (such as an app store or a social media platform you share to), your use of that third-party service is governed by that third party’s terms, and we bear no responsibility for it.
Article 8 (Changes, suspension, and termination of the Service)
- We may change, add to, suspend, or terminate all or part of the Service without prior notice to users.
- Except as otherwise provided in these Terms, we are not liable for any damage incurred by users as a result of measures taken under the preceding paragraph.
Article 9 (Changes to these Terms)
We may change these Terms without prior notice to users when we deem it necessary. The revised Terms take effect when they are posted within the Service or on this page, and if you use the Service after the change takes effect, you are deemed to have agreed to the revised Terms.
Article 10 (Governing law and jurisdiction)
- The interpretation and application of these Terms are governed by the laws of Japan.
- In the event of a dispute between us and a user concerning the Service, the court in Japan having jurisdiction over the operator’s location shall be the court of exclusive agreed jurisdiction for the first instance.
